These Terms & Conditions (“Terms”) govern your access to and use of products and services provided by SideKick (“we”, “us”, “our”), including our subscription-based website design, development, hosting, maintenance, and related add-ons (collectively, the “Services”). By purchasing, accessing, or using the Services, you agree to these Terms.
1) Eligibility & Acceptance
You must be at least 18 years old and have the authority to bind your organization. By using the Services, you accept these Terms and our Privacy Policy and Refund Policy.
2) Services & Scope
We provide subscription plans (e.g., Bronze, Silver, Gold, Platinum) and optional add-ons (e.g., SEO, SMM, chatbot, integrations). The exact scope for you is defined by the plan selected on our website and any add-ons you order. Certain third-party costs (domains, premium plugins, stock assets, email tools) are pass-through and billed separately where applicable.
3) Orders, Onboarding & Collaboration
Onboarding: After purchase, we’ll collect content/requirements via our portal or form. Timelines (like “7 days go-live”) assume timely inputs/approvals.
Approvals & Revisions: Plans include a reasonable number of revisions as per plan limits. Delays in feedback may shift delivery dates.
Communication: Primary communication occurs via our portal/email. Calls or meetings are scheduled as needed.
4) Fees, Billing & Taxes
Subscriptions: Billed in advance on a recurring basis until cancelled. You authorize us or our payment processor to charge your payment method.
Add-ons: One-time or recurring per description at checkout.
Taxes: Prices are exclusive of applicable taxes; you are responsible for all taxes, duties, or levies.
Late/Failed Payments: We may suspend Services for non-payment after notice.
5) Refunds & Cancellations
14-Day Guarantee: New subscription purchases are eligible for a full refund within 14 calendar days of the initial charge — no questions asked. (See Refund Policy.)
After 14 Days: You may cancel anytime; your plan remains active until the end of the current billing period. No refunds for partial months.
Pass-Through Costs: Domains, paid plugins/themes, stock assets, and other third-party fees are non-refundable.
6) Plan Changes
Upgrades take effect immediately and may be pro-rated. Downgrades apply at the next renewal. Feature limits change according to your active plan.
7) Client Responsibilities
Provide accurate, lawful content and permissions to use any materials supplied.
Obtain necessary consents/approvals (e.g., trademarks, images of individuals).
Ensure your use of the site complies with applicable laws (consumer protection, privacy, advertising, accessibility).
8) Acceptable Use
You must not use the Services for unlawful content, malware, spamming, scraping abuse, or activities that disrupt or overload our systems or hosting providers. We may suspend or remove content that violates these Terms or the law.
9) Intellectual Property & Licenses
Your Materials: You retain ownership of content you provide. You grant us a non-exclusive license to use it to deliver the Services.
Deliverables: Upon full payment, you receive rights to the bespoke website design and content we create for you (excluding third-party items and our underlying tools/frameworks).
SideKick Materials: We retain all rights to our pre-existing IP, templates, internal tools, processes, and know-how. We grant you a license to use such items as embedded in your site solely for operating your site.
10) Domains, Hosting & Third-Party Services
Domains may be registered in your or our name depending on your selection. If you cancel and the domain is in our account, we’ll assist reasonable transfer subject to settlement of dues and registrar rules. Hosting and integrations rely on third-party providers; their terms also apply.
11) Handover on Cancellation
On written request after cancellation, we provide a reasonable handover of site assets that you own. Paid third-party licenses may not transfer or may require new licenses. A one-time handover/admin fee may apply where stated.
12) Support, Maintenance & Downtime
We provide ongoing maintenance and updates per your plan. We may schedule maintenance windows and emergency fixes as needed. While we aim for high uptime, availability is not guaranteed and may depend on third-party providers.
13) Confidentiality
Each party will protect the other’s non-public information and use it only to perform obligations under these Terms, except as required by law.
14) Privacy & Data Protection
We process personal data in accordance with our Privacy Policy. You are responsible for your website’s content and any personal data you provide to us for processing.
15) Publicity
Unless you opt out in writing, you grant us permission to reference your name/logo and a screenshot/link to your site in our portfolio and marketing.
16) Warranties & Disclaimers
The Services are provided “as is” and “as available.” We disclaim all warranties not expressly stated here, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
17) Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue/data. Our aggregate liability for claims arising out of or relating to the Services will not exceed the amounts paid by you to us in the three (3) months preceding the event giving rise to the claim.
18) Indemnity
You will defend, indemnify, and hold harmless SideKick from claims arising out of your content, unlawful use of the Services, or breach of these Terms.
19) Governing Law & Dispute Resolution
Unless otherwise required by local law, these Terms are governed by the laws of the United Arab Emirates, and courts of Dubai shall have exclusive jurisdiction. Mandatory consumer protection laws in your region will apply where they cannot be waived.
20) Changes to These Terms
We may update these Terms from time to time. We’ll post the updated version with a new “Last Updated” date and, where appropriate, notify you via email or dashboard. Continued use constitutes acceptance.
